Agreement to Terms

By accessing and using Occam's Model ("we," "our," or "us"), operated by Occam's Model, Inc., a Delaware corporation, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

Occam's Model is a freemium financial planning platform. Substantial features are free forever. Paid plans unlock the full platform, and they differ in how much human attention comes with the software:

Solo: The full software platform, self-directed
Advisory: The full software platform, plus an assigned expert who answers your questions in writing
Partner: Everything in Advisory, plus a dedicated advisor in recurring live working sessions and work product prepared for you. Not sold through this website — see below

The plans are mutually exclusive — you hold one at a time, and every one of them unlocks every software feature we offer.

Partner, Enterprise, and Custom Plans

Partner, Enterprise, licensed-firm, and other custom arrangements are not sold through this website. They are offered under a separately executed written agreement between you and Occam's Model, Inc. covering scope, pricing, term, and service levels. For Partner, that agreement is an engagement letter setting out the hours of live time included each month, the work product to be prepared, the fee, and the notice required to end the engagement.

Where a separately executed agreement conflicts with these Terms, that agreement controls for the customer who signed it
These Terms continue to govern every part of the relationship the signed agreement does not address

Age Requirement: You must be at least 16 years old to create an account and use our service.

Description of Service

Occam's Model is a freemium platform. Substantial features are free forever; a paid plan unlocks the full platform. Every paid plan grants the same software — they differ only in how much human attention comes with it.

AI-Generated Content Disclaimer

Important: Our AI features use Google Gemini large language models (LLMs) to provide guidance and assistance. By using AI features, you acknowledge that:

AI-generated content may be inaccurate, incomplete, or contain errors
AI responses are based on general knowledge and may not apply to your specific situation
You are responsible for verifying all AI-generated information before relying on it
AI is a tool to assist your thinking, not a substitute for professional judgment
We are not responsible for decisions made based on AI-generated content
Google's AI services have their own terms and limitations

Human Expert Disclaimer

Important: Advisory subscribers, Partner clients, and session purchasers communicate with a real person. That does not change the nature of what we provide. By using expert services, you acknowledge that:

Our experts provide business education and guidance, not professional advice
Our experts are not acting as your registered investment adviser, financial planner, CPA, tax preparer, attorney, or fiduciary, and no such relationship is created by these Terms, by any engagement letter, or by any conversation, session, message, or prepared document
Guidance is general in nature and based on the information you provide; it may be incomplete or inapplicable to your specific circumstances
You remain solely responsible for verifying any guidance and for every decision you make
Nothing an expert says overrides the disclaimers in the "Not Financial, Tax, or Legal Advice" section below, which apply equally to human and AI-generated guidance

Prepared Work Product Disclaimer

Important — read this before giving any prepared document to a third party. A Partner engagement includes financial statements, models, and related documents prepared for you. These are management-prepared working documents. By receiving them you acknowledge that:

They are not audited, not reviewed, and not compiled, and no assurance of any kind is provided on them. We do not perform attest or assurance engagements, and nothing we prepare is issued under AICPA standards or any comparable professional standard
They are prepared from information you supply and from your own account data. We do not independently verify that information, and we are not responsible for errors that originate in it
They remain your documents and your responsibility. You are the author of your own financial statements; our role is preparation assistance, not certification
They are prepared for your internal use. They are not prepared for the benefit of, and should not be relied upon by, any lender, investor, acquirer, tax authority, or other third party. If you provide them to a third party, you do so on your own responsibility and you should tell that party they are unaudited and management-prepared
They are not a tax return, not a filing, and not a substitute for the work of a licensed CPA, auditor, attorney, or tax preparer. Where a transaction, financing, or filing calls for such work, engage one
Projections and models are estimates about the future, which is uncertain. Actual results will differ, often materially

Plans and Pricing

Current prices are published on our Pricing page and are shown to you again at checkout before you pay. This section describes what each plan entitles you to and the terms that govern it.

Available Plans

Solo — The full software platform, billed monthly or annually, with a monthly or annual allowance of AI credits
Advisory — Everything in Solo, plus an assigned human expert and the included 30-minute onboarding tour, with a larger allowance of AI credits
Partner — Everything in Advisory, plus a dedicated advisor in recurring live working sessions and work product prepared for you. Not sold online; scope, hours, term, and fees are set in a separately executed engagement letter, which controls where it conflicts with these Terms
Enterprise — Not sold online; governed by a separately executed agreement as described above

One plan at a time. The plans are mutually exclusive. If you already hold an active plan, checkout will direct you to your Account Settings instead of selling you a second one.

Changing plans. You can move between Solo and Advisory, and between monthly and annual billing, from your Account Settings. An upgrade takes effect immediately and is prorated by Stripe against the period you have already paid for. A downgrade is scheduled to take effect at the end of your current billing period, so you keep what you paid for until that period ends; you can cancel a scheduled downgrade at any time before it lands. Moving to or from Partner is arranged with us directly rather than in the app.

Add-Ons

Add-ons require an active paid plan and are one-time purchases, not subscriptions:

30-Minute Session — A live working session with an expert
60-Minute Session — A longer live working session with an expert
AI Credit Packs — Additional AI credits on top of your plan allowance

Subscription Terms

Automatic renewal on your anniversary date (monthly or annual) unless canceled
The renewal amount and interval are disclosed at checkout and in your receipt
Cancel anytime — access continues through your current paid period
Except as described in our Refund Policy below, no refunds are issued for mid-period cancellations (you keep access until the period ends)
We may change prices with 30 days' notice. A price change takes effect at your next renewal, never mid-period, and you may cancel before it applies

AI Credits Policy

AI features are metered in credits. Each plan includes a credit allowance; the exact amounts for your plan are shown on the Pricing page and at checkout.

Credits are a metered allowance, not unlimited use. When your balance reaches zero, AI features are unavailable until your next grant or until you purchase a credit pack
Expiration varies by plan and grant. Some grants expire 365 days after the grant date; the Advisory monthly allowance expires 30 days after each grant, so it resets each month rather than accumulating. The expiration that applies to each grant is shown in your credit history
Each grant or purchase is a separate cohort with its own expiration date; multiple cohorts can coexist and are consumed oldest-first
Add-on credit packs expire 365 days after purchase
No refunds for unused or expired credits
No grace period or extensions (contact support for special circumstances; reviewed case-by-case)
Credits are non-transferable and cannot be shared between accounts

Advisory and Partner — Your Assigned Expert

An Advisory subscription or a Partner engagement assigns you a human expert who answers your questions in writing through the message board in your account. Everything in this section applies to both. A Partner engagement adds recurring live working sessions and prepared work product on top of it, on the terms set out in your engagement letter.

Our Response Commitment:

We aim to respond to your messages within 48 hours on business days (Monday–Friday, excluding US federal holidays). Time outside business days does not count toward the 48 hours
A response means an expert has replied to your thread — it does not mean your question is fully researched, answered, or resolved. Complex questions may take several exchanges
This is a service target, not a warranty or guarantee. We do not owe fee credits, refunds, or other compensation for a missed target, and a missed target is not a breach of these Terms
Response times may be extended during holidays, outages, or other circumstances described in the Force Majeure section

Included Onboarding Tour:

Advisory includes one 30-minute live platform orientation, granted once per user
The tour is orientation only — it covers how to use the platform, not advisory work on your business
The tour is not redeemable for cash or credit and has no independent cash value

Scope and Fair Use:

Expert support is for reasonable assistance with your own business. We reserve the right to decline excessive, abusive, or out-of-scope requests
An expert may be reassigned, and coverage may be provided by another qualified expert during absences
You may end the expert relationship at any time from your account, independently of your subscription

What Expert Support Does NOT Include:

Tax preparation, filing, or representation before tax authorities
Legal advice, entity formation guidance, or contract review
Investment advice, securities recommendations, or portfolio management
Certified financial planning or any fiduciary service
Audit, review, compilation, or any other attest or assurance engagement
Direct client work, deliverables, or execution for your business — except the prepared work product expressly included in a Partner engagement letter, which is subject to the Prepared Work Product disclaimer above
Unlimited, real-time, after-hours, or weekend support
Any guaranteed response time faster than the target described above

If Your Advisory Plan or Partner Engagement Ends:

Your assigned expert's access to your account ends when your Advisory subscription lapses, is canceled at period end, or is refunded, or when a Partner engagement ends under its engagement letter
Your message history remains visible to you in your account unless you delete your account
Work product already prepared for you under a Partner engagement remains yours and stays in your account. We are under no obligation to continue updating it once the engagement ends
Downgrading to Solo keeps every software feature and ends only the expert relationship

Booked Sessions

Sessions are one-on-one live video sessions of the purchased duration
Request scheduling from within your account; we will coordinate by email to find a mutually convenient time
Sessions may be recorded so you can refer back to them. We will tell you before recording begins
Please reschedule at least 24 hours in advance. A no-show or a cancellation inside 24 hours may consume the session
Unused sessions are forfeited if your plan ends. Purchased sessions require an active plan; if your subscription is canceled, lapses, or is refunded before you use a session, that session is forfeited and is not separately refundable — except under the First Session Guarantee described below. Cancel with care if you are holding an unused session
Sessions are non-transferable and have no cash value

License and Permitted Use

Your subscription is a single-user license. One account per person — sharing login credentials is prohibited
You may use Occam's Model for your own business or businesses, including for commercial purposes
You may not use your account to deliver paid services to third-party clients, or allow clients, students, or other third parties to access your account
Consultants and advisors: serving your own clients through Occam's Model requires a separate arrangement. We offer a Consultant Portal in which each client holds their own account and grants you access with their explicit consent. Contact enterprise@occamsmodel.com to discuss licensing

Payment Processing

Payments processed securely through Stripe
Initial subscription charge occurs immediately upon signup
Annual renewal charges occur automatically on your subscription anniversary date
You will receive an email receipt for all subscription payments
You are responsible for all taxes associated with your subscription
Failed payment attempts may result in subscription suspension or cancellation

Refund and Cancellation Policy

Our Two Guarantees:

14 days on the tools. If the platform isn't right for you, request a full refund within 14 days of your first subscription payment. No questions asked.

Your first expert session, guaranteed. If your first session with one of our experts doesn't deliver value, tell us and we'll refund it.

14-Day Platform Guarantee

Full refund available within 14 days of your initial subscription purchase
Applies to either plan, monthly or annual
No questions asked — we want you to feel confident trying our service
Available for first-time subscriptions only. It does not apply to renewals, to a later resubscription, or to a second plan after a previous refund

First Session Guarantee

If you are not satisfied with your first live expert session, we will refund that session's fee
Applies once per customer, to the first session you attend
Tell us within 14 days of the session at support@occamsmodel.com
The included Advisory onboarding tour is not separately priced and so is not separately refundable; if the tour disappoints you within your first 14 days, the 14-Day Platform Guarantee covers your subscription in full
Subsequent sessions are not refundable once attended

Subscription Cancellation

Cancel anytime through your account settings
No cancellation fees or penalties
Access continues through the end of your current paid period
No refunds for mid-period cancellations (you keep access until period ends)
Unused AI credits and unused booked sessions are forfeited at the end of the subscription period
Subscription will not renew after current period expires

How to Cancel Your Subscription

You can cancel your subscription at any time:

Outside the Guarantees

Apart from the two guarantees above, no refunds are provided for:

Mid-period cancellations (you keep access until period ends)
Unused AI credits, unused sessions, or unused features
Renewal charges (cancel before your renewal date to avoid them)

Refunds outside the guarantees may still be issued for:

Technical error preventing access to subscription features
Duplicate charges due to payment processing error
Unauthorized transaction (with proof)
A sustained failure to provide the expert access an Advisory subscription or Partner engagement entitles you to
As required by applicable law in your jurisdiction

Effect of Cancellation or Refund

When a subscription is canceled or refunded:

Cancellation: Access continues until end of current paid period; after that, your account reverts to the free tier
Refund: Subscription access is immediately revoked and your account reverts to the free tier
Unused AI credits are removed
Unused booked sessions are forfeited
Your assigned expert's access to your account ends, and any consultant relationship created by an Advisory subscription or Partner engagement is revoked
On the free tier you retain access to your account and free-tier features, but lose access to all Blueprints and Playbook plays

Subscription Acknowledgment

By subscribing to a paid plan, you acknowledge and agree that:

You understand this is a recurring subscription that renews automatically at the price and interval shown to you at checkout, until canceled
You can cancel anytime — access continues through the current paid period
AI credits are a metered allowance that expires; expiration is 365 days from the grant date for most grants and 30 days for the Advisory monthly allowance, so that allowance resets each month rather than accumulating
Each credit grant or purchase is a separate cohort with its own expiration date
Advisory's expert response commitment is a service target, not a warranty, and our experts do not provide financial, tax, legal, or investment advice
Unused AI credits and unused booked sessions are forfeited when your plan ends
You agree to our refund and cancellation policy, including the 14-Day Platform Guarantee and the First Session Guarantee
Add-on products (credit packs, sessions) require an active plan to purchase and to use
You have read and accept our Privacy Policy
You have read and accept all Terms of Service stated herein

Important: Deleting your account will immediately cancel your subscription and permanently revoke access to the platform and all associated features. No refunds are provided for account deletion.

User Responsibilities

Account Security

You are responsible for maintaining the confidentiality of your account credentials
You must notify us immediately of any unauthorized access at support@occamsmodel.com
You are responsible for all activities under your account

Data Accuracy

You are responsible for providing accurate financial information
You must update your information when it changes
Inaccurate data will affect the reliability of our calculations

Acceptable Use

Use the service only for lawful purposes
Do not attempt to breach security or interfere with the service
Do not use automated tools to access the service without permission
Account Sharing Prohibited: Your account is for your personal use only. You may not:
- Share your login credentials with others
- Allow clients, students, or third parties to access your account
- Use one account to serve multiple businesses or individuals
- Create models or reports on behalf of others using your account
Commercial Use Restrictions: You may not:
- Use Occam's Model to provide consulting services to clients without separate licensing
- Resell, redistribute, or white-label our service
- Use our tools as part of a paid service offering without authorization

Business/Enterprise Use: If you're a consultant, coach, or advisor who wants to use Occam's Model with clients, contact us at enterprise@occamsmodel.com for enterprise licensing options. Enterprise arrangements are governed by a separately executed agreement, which controls where it conflicts with these Terms.

Results may vary with individual circumstances and interpretations

Results are estimates that depend on the accuracy of data you provide

Our Proprietary Technology

The software, website design, user interface, original text content, and specific implementation of Occam's Model are owned by us and protected by intellectual property laws. Mathematical formulas, standard financial calculations, and general financial concepts remain in the public domain.

Prohibited Activities

Commercial Use: Use our service or data for competing financial planning services

Your Data

You retain ownership of the financial data you provide. By using our service, you grant us a limited license to use your data solely to provide our services, as described in our Privacy Policy.

Feedback and Ideas

If you provide feedback, suggestions, ideas, or feature requests ("Feedback") to us:

We may use your Feedback without restriction or compensation to you
You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into our service
You waive any claims of ownership or compensation for Feedback we implement
We have no obligation to implement any Feedback you provide

Service Availability and Modifications

Service Availability

We strive to maintain service availability but do not guarantee uninterrupted access
We may perform maintenance, updates, or modifications that temporarily affect service
We may suspend accounts that violate these terms

Service Modifications and Discontinuation

We reserve the right to modify, discontinue, or materially change features with 30 days' notice
Notice will be provided via email to your registered address and/or prominent in-app notification
If we discontinue a plan or materially modify subscription features:
- You will have 30 days to download or export your data
- We will provide reasonable assistance with data export during this period
- Active subscribers may receive pro-rated refunds at our discretion
- No automatic renewals will occur after discontinuation notice
Minor updates, bug fixes, and improvements may be made without notice

Force Majeure

We are not liable for service interruptions or failures resulting from circumstances beyond our reasonable control, including but not limited to:

Acts of God, natural disasters, or severe weather events
Third-party service failures (hosting providers, payment processors, API services)
Network outages, cyberattacks, or infrastructure failures
Government actions, labor disputes, or other force majeure events
Dependencies on third-party AI/LLM services (Google Gemini, etc.)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We provide the service "AS IS" without warranties of any kind
We are not liable for any direct, indirect, incidental, or consequential damages
We are not liable for financial losses resulting from use of our calculations
Our total liability is limited to the amount you paid for the service in the past 12 months
Our liability for unauthorized commercial use or account sharing is limited to account termination without refund

Some jurisdictions do not allow certain liability limitations, so these may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Occam's Model, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your violation of these Terms of Service
Your violation of any law, regulation, or third-party rights
Your use or misuse of the service
Your breach of the single-user license or account sharing prohibitions
Unauthorized commercial use of our service
Financial or business decisions you make based on our tools or calculations
Any content you submit or transmit through the service
Your negligence or willful misconduct

This indemnification obligation will survive termination of your account and these Terms of Service.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference.

Data Security

We implement industry-standard security measures
We encrypt sensitive data in transit and at rest
We do not store banking credentials or Social Security Numbers
You can delete your account and data at any time

Termination

By You

You may terminate your account at any time by deleting it through your account settings or contacting us.

By Us

We may terminate or suspend your account if you:

Violate these terms of service
Provide false or misleading information
Engage in fraudulent or illegal activities
Interfere with the service or other users
Share your account or use it for commercial purposes without authorization
Create models or reports for multiple individuals or businesses using a single account

Effect of Termination

Upon termination, your access to the service will cease, and your data will be deleted according to our Privacy Policy.

Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes via:

Email notification to your registered address
Prominent notice in the application
Updated "Last updated" date on this page

Continued use of the service after changes constitutes acceptance of the new terms.

Governing Law and Dispute Resolution

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Mandatory Arbitration Agreement

Please read this section carefully—it affects your legal rights.

Except as provided below, any dispute, controversy, or claim arising out of or relating to these Terms of Service or our service (including any alleged breach) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Procedures

Arbitration will be conducted by a single arbitrator
The arbitration will be held in Delaware or remotely via videoconference
The arbitrator's decision will be final and binding
Each party will bear its own costs and attorneys' fees unless the arbitrator awards them
The arbitrator may award the same damages and relief as a court, but only to the individual party

Class Action Waiver

YOU AND OCCAM'S MODEL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

No class arbitrations or class actions are permitted
Claims may not be consolidated with claims of other users
You waive the right to participate in a class action against us

Small Claims Court Exception

Either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court. This provides an accessible option for resolving smaller disputes.

Severability

If any provision of this arbitration agreement is found unenforceable, the remainder shall remain in full force and effect. If the class action waiver is found unenforceable, the entire arbitration agreement shall be void, and the dispute shall be resolved in court.

Export Controls and Compliance

By using Occam's Model, you represent and warrant that:

You are not located in, or a resident or national of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country
You are not listed on any U.S. government list of prohibited or restricted parties
You will comply with all applicable export control and sanctions laws and regulations
You will not use the service for any purpose prohibited by U.S. law

Severability and Entire Agreement

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

The remaining provisions will remain in full force and effect
The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable
If modification is not possible, the provision will be severed from these Terms

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Occam's Model regarding use of the service and supersede all prior agreements and understandings.

Exception: if you have entered into a separately executed written agreement with Occam's Model, Inc. — such as a Partner engagement letter, or an Enterprise or licensed-firm agreement — that agreement, together with these Terms and our Privacy Policy, forms the entire agreement, and the separately executed agreement controls wherever it conflicts with these Terms.
